Structure of share capital and changes in shareholder structure and market capitalisation

The table below shows the structure of Snam’s share capital, which, as at the Report approval date, amounted to € 3,696,851,994.00, divided into 3,500,638,294 ordinary registered shares, with no nominal value. Snam’s share capital increased in December 2014 following the execution of the capital increase that was resolved upon by the Shareholders’ Meeting of 10 December 2014, as described in Section III, Paragraph 1.

Snam shares are listed on the FTSE MIB index of Borsa Italiana, the main international indices (STOXX, S&P, MSCI, FTSE), and the main sustainability indices (the Dow Jones Sustainability World Index, the FTSE4Good Index series, the Stoxx Global ESG Leaders index, the ECPI Ethical Index series, and the Vigeo and CDP indices).

The shares are indivisible, and each share entitles the holder to one vote. Shareholders may exercise ownership and dividend rights, subject to the limits set forth by the regulations in force and by the Bylaws.

As at the Report approval date, the Company holds 1,127,250 treasury shares, equal to 0.03% of the share capital. The floating capital is 60.16%.

The Company’s market capitalisation rose from €13,655 million at 31 December 2013 to € 14,383 million at 31 December 2014.
