Snam S.p.A. (hereafter also referred to as “Snam” or the “Company”) issues shares which are quoted on the Mercato Telematico Azionario managed by Borsa Italiana S.p.A. and therefore fulfils all legislative and regulatory obligations related to stock market listing.
The overall framework of Snam’s corporate governance system is described in the “Corporate governance and ownership structure report” prepared pursuant to Article 123-bis of Legislative Decree no. 58/1998 (hereafter referred to as the “Consolidated Finance Act” or “TUF”) and approved by the Board of Directors on 12 March 2012.
The information reported below, at 31 December 2011 unless otherwise indicated, aims to supply a summary of this report, bearing in mind the minimum content required by the aforesaid law and the recommendations of Borsa Italiana’s Code of Corporate Governance.
