2.4 CEO
At its meeting on 26 March 2013, the Board of Directors confirmed Carlo Malacarne in the role of CEO28, assigning him the relevant duties and granting him all powers that are not reserved for the Board of Directors or the Chairman, as described in Paragraphs 2.1 and 2.2 of this Section, above.
The CEO represents the Company and performs the role of director in charge of the internal control and risk management system29.
There is no interlocking directorate in place, as defined in criterion 2.C.5 of the Code of Corporate Governance, in relation to the CEO30.
